Probuse Reseller & Referral Partner – Commercial Framework

Probuse works with reseller and referral partners worldwide to identify and introduce businesses that may benefit from Odoo implementation, customization, integration, migration, training, support, managed services and other business solutions.
Our reseller program is designed to provide a transparent commercial framework while allowing partners to focus on business development and opportunity identification, with Probuse managing the technical and delivery aspects of the engagement.

1. Commission Structure

Our general commission framework is:
  • Standard Odoo implementation projects: 15% of eligible net revenue actually received by Probuse.
  • Large, complex, multi-company or multi-entity projects: generally 10–15%, with the final rate mutually agreed based on project scope, commercial structure and project economics before the commercial proposal is finalized.
  • Customization and integration projects: generally 10% of eligible net revenue actually received.
  • Recurring support, AMC and managed services: generally 10% of eligible revenue actually received during the first 12 months of the engagement.
  • Renewals after the initial 12-month period: no automatic commission unless separately agreed.
For larger or strategically important opportunities, the applicable commission rate may be agreed on a case-by-case basis before the commercial proposal is finalized.

2. Commission Base

Commission is calculated on eligible net revenue actually received by Probuse from the customer.
The following are generally excluded from the commission calculation:
  • GST, VAT, sales tax and other statutory taxes.
  • Genuine third-party pass-through costs.
  • Actual documented costs of third-party licenses and subscriptions.
  • Refunds, credits and reversals.
  • Amounts paid directly to third parties on behalf of the customer.
Where Probuse retains an identifiable margin, rebate or partner commission from a third-party product or service, that retained amount may be included in the commission base where it forms part of Probuse's actual revenue from the customer engagement.
Commission is based on actual customer payments received by Probuse and is not payable on amounts that remain unpaid.

3. Lead Registration and Acceptance

Partners are encouraged to register prospective opportunities with Probuse before making a formal customer introduction.
Each submitted opportunity is reviewed by Probuse before attribution is confirmed.
A lead may not qualify for partner attribution where the customer or opportunity:
  • Is already an existing Probuse customer.
  • Is already an active Probuse sales opportunity.
  • Has previously been registered by another authorized partner.
  • Was already known to or actively being pursued by Probuse before the referral was submitted and accepted.
  • Is otherwise determined by Probuse to be an existing or previously established commercial opportunity.
Submission of a company or contact does not by itself create an automatic commission entitlement. Attribution begins only after the opportunity has been reviewed and accepted by Probuse.

4. Lead Attribution and Protection

Once a referral is accepted and registered, the opportunity will generally remain attributed to the referring partner for 12 months from the date of acceptance, provided the opportunity remains active.
Probuse will handle accepted opportunities confidentially and will work transparently with the referring partner throughout the sales process.

5. Follow-On Business

Where a referred opportunity results in an initial customer contract, eligible follow-on work directly arising from the original referred opportunity may remain commissionable for 6 months from the date of the first customer contract.
This may include related implementation, customization, integration or other services arising directly from the original opportunity.
Unrelated future projects or engagements with the same customer do not automatically attract referral commission after the applicable follow-on period.
Any commission entitlement for longer-term or unrelated customer engagements must be separately agreed in writing.

6. Customer Relationship

Unless otherwise agreed in writing, the customer relationship will be managed according to the applicable engagement model and customer contract.
The fact that a partner introduced a customer does not automatically give the partner ownership of the customer's future purchasing decisions or all future business with that customer.
Customers remain free to independently contact Probuse or another service provider for future requirements.
Where the customer relationship is jointly managed by Probuse and the reseller, the responsibilities of each party may be agreed separately for the relevant engagement.

7. Non-Exclusive Partnership

The Probuse reseller program is non-exclusive, unless otherwise agreed in a separate written agreement.
Partners may work with other technology providers, Odoo service providers or software companies, provided that they respect the confidentiality, intellectual property and other obligations agreed with Probuse.

8. Typical Opportunity Profile

There is no formal minimum sales target for participating partners.
However, partners are encouraged to focus on companies with genuine ERP requirements and meaningful implementation, customization, integration or support needs.
As a general guideline, opportunities with an expected project value of approximately USD 5,000 or above are particularly suitable for our international SMB and mid-market focus, while USD 10,000+ opportunities and larger multi-company or multi-country projects are especially attractive.
Smaller opportunities may also be considered where there is strong strategic fit or potential for future expansion.

9. Partner Responsibilities

Depending on the engagement model, partners may assist with:
  • Identifying potential customers.
  • Initial prospect research and qualification.
  • Understanding the customer's high-level business requirements.
  • Introducing the opportunity to Probuse.
  • Participating in customer meetings and demonstrations.
  • Supporting the commercial relationship where mutually agreed.
  • Providing local or industry-specific business knowledge where applicable.
Partners are responsible for ensuring that their lead-generation, prospecting and communication activities comply with applicable laws, regulations and third-party platform requirements.

10. Probuse Responsibilities

For accepted opportunities, Probuse may provide:
  • Discovery and detailed requirement analysis.
  • Product demonstrations.
  • Technical and functional consultation.
  • Solution architecture.
  • Cost estimation.
  • Commercial proposal preparation.
  • Odoo implementation.
  • Customization and development.
  • Integration and API development.
  • Data migration.
  • Training.
  • Deployment.
  • Hosting where applicable.
  • Ongoing support and maintenance.
  • Technical assistance to the reseller.
The exact scope of Probuse's involvement will depend on the applicable engagement model.

11. Customer Contract and Engagement Model

Depending on the nature of the opportunity, the customer agreement may be signed directly by Probuse, directly by the reseller, or through another mutually agreed engagement structure.
The applicable commercial, delivery and payment responsibilities will be agreed before project commencement.
For joint delivery, implementation, white-label or subcontracting arrangements, separate commercial terms may apply.

12. Commission Payment

Commission becomes payable after Probuse receives the corresponding eligible payment from the customer.
Commission is therefore linked to actual customer receipts rather than invoiced or outstanding amounts.
Specific payment timing, documentation and payment procedures may be defined in the applicable reseller or referral agreement.

13. Confidentiality and Non-Circumvention

Both Probuse and its partners are expected to protect confidential business, customer, technical and commercial information received during the partnership.
The parties will work in good faith and avoid actions intended to improperly circumvent the agreed commercial relationship.
Detailed confidentiality, non-circumvention, intellectual property and data protection obligations may be included in the applicable partner agreement.

14. Final Commercial Terms

This framework describes the general principles of the Probuse reseller and referral program.
Individual opportunities may have different commercial requirements based on project size, complexity, delivery responsibilities, margin, customer requirements, strategic importance or other factors.
The final commission rate and commercial terms for a partner or specific opportunity will be confirmed in the applicable reseller, referral or partner agreement.
In the event of any difference between this general framework and a signed written agreement, the signed agreement will govern the applicable relationship or opportunity.
